Terms of Service and End User Licence Agreement
Version 1.2 — effective 19 October 2026
This Agreement is between the person operating AI Doc Sherpa ("we", "us", "the Provider") and you, the person or organisation that registers an account and buys message credits ("you", "the Customer").
We currently operate this Service as a private individual. If the Service is later moved to a company, that company takes our place under clause 17.
The service is AI Doc Sherpa, reachable at https://aidocsherpa.com: a hosted assistant that answers questions from documentation you upload, embedded on your own website through a snippet we give you (the "Service").
Contact for anything in this Agreement: mail@aidocsherpa.com.
1. Accepting this Agreement
You accept this Agreement by pressing the button marked that you have read and agree to it, which we show you before every purchase. Pressing that button has the same effect as signing a paper contract. We record the date and time, your account, the version of this document you were shown, and a cryptographic checksum of its exact text, so that both of us can later prove what was agreed.
If you do not agree, do not press the button and do not buy credits. You may continue to use any free trial credits already on your account, which are governed by the same terms other than those about payment.
If you are pressing the button on behalf of a company or other organisation, you confirm you are authorised to bind it, and "you" means that organisation.
2. Who this is for
The Service is for someone running a website: a person, a freelancer, or a company. By accepting this Agreement you confirm that you are at least 18 years old and that you are buying it for a site you operate.
3. What you are buying
3.1 Message credits
The Service is prepaid. You buy a pack containing a stated number of messages at the price shown on the purchase page at the moment you order. There is no subscription, no monthly fee and no automatic renewal. When the balance runs low you choose whether to buy another pack.
3.2 When a credit is spent
One credit is spent each time the Service returns a substantive answer to a visitor on your site. A question your documentation cannot answer does not spend a credit. Our records of credit usage are the authoritative record, absent obvious error.
3.3 Overdraft and expiry
After your balance reaches zero we may keep answering for a limited further number of messages, shown on your profile, so the widget does not stop in the middle of a conversation. That overdraft is a courtesy, not an entitlement, and we may withdraw or change it at any time.
Credits do not expire while your account is open. Credits have no cash value, are not a deposit, and cannot be transferred to another account, sold, or exchanged for money.
3.4 Trial credits
A new account receives free trial credits. These are provided for evaluation, carry no warranty of any kind, and may be reduced, withdrawn or expired at any time. If you never buy a pack we may delete your account and its data after the retention period shown on your profile.
4. Price, payment and tax
4.1 Payment
Payment is taken by Stripe. We never see or store your card number. By pressing the agree button and continuing to the payment page you authorise the charge for the pack shown. Your order is accepted, and this Agreement for that purchase is concluded, when Stripe confirms the payment to us and we add the credits to your balance.
4.2 Tax
The amount you pay is the amount shown on the payment page before you confirm. If a tax is added, it is shown there. You remain responsible for the taxes of your own activity. We are a private individual and do not ask you for a company VAT number.
4.3 Price changes
We may change the price or the size of a pack at any time. The change affects future purchases only. Credits already bought are unaffected.
5. No refunds
Credits are supplied immediately and are non-refundable. Once a payment has been taken and credits have been added to your balance, we do not refund them, in whole or in part, for any reason, including that you changed your mind, that your project ended, that you bought by mistake, that you used fewer credits than expected, or that you stopped using the Service.
Credits do not expire, so an unused balance stays available to you for as long as your account is open. That is the remedy for unused credits: use them later, not a refund.
This clause does not limit any right you may have where we are at fault. If we charge you an amount you did not order, or charge you twice for the same order, we will refund the difference. If we terminate your account under clause 11.2 for a reason that is not your breach of this Agreement, we will refund the unused balance at the price you paid for it.
Nothing in this clause excludes liability that cannot lawfully be excluded.
6. Your account
You are responsible for your account, your client ID, the snippet you install, and everything done through them. Sign-in is by a code sent to your email address, so keep that mailbox secure and tell us promptly at mail@aidocsherpa.com if you believe someone else has access to your account.
You may not resell, sublicense, rent or share access to the Service, or use one account to serve websites belonging to unrelated third parties, without our written agreement.
7. Your content
7.1 Ownership and licence
The documentation you upload stays yours. You grant us a non-exclusive, worldwide, royalty-free licence to store it, index it, split it into passages, generate numerical representations of it, and send relevant passages to our model provider, for the sole purpose of operating the Service for you. The licence lasts as long as you keep the content on the Service, and ends when you delete it or your account.
7.2 Your warranties about content
You confirm that you own the content you upload or have the right to use it in this way, that it does not infringe anyone's rights, and that it does not contain personal data of third parties beyond what is necessary, special categories of personal data, payment card data, credentials, health records, or anything whose disclosure would be unlawful or harmful. The Service answers visitors' questions from this content, so treat everything you upload as publicly readable.
8. Acceptable use
You must not, and must not allow anyone else to:
- use the Service for anything unlawful, or to publish content that is illegal, defamatory, obscene, or infringing;
- attempt to gain unauthorised access to the Service, another customer's data, or the systems that run it;
- interfere with the Service, including by automated traffic designed to spend another account's credits, by denial-of-service traffic, or by circumventing rate limits, daily caps or credit limits;
- use the Service to build or train a competing product, or to extract our prompts, retrieval behaviour or model outputs for that purpose;
- present the Service's answers as human advice, or deploy it in a way that misleads your visitors about what they are talking to;
- use the Service where failure or an incorrect answer could lead to death, personal injury, or serious environmental or financial harm, including medical diagnosis, legal advice, financial advice, and the operation of vehicles, aircraft, weapons, or critical infrastructure.
You are responsible for the behaviour of visitors to your own site. Tools are provided on your profile — a daily message cap and an address block list — and using them is your responsibility, not ours.
9. Artificial intelligence: what the Service does not promise
Read this clause carefully. It describes the main limitation of the Service.
The Service generates answers using a large language model. Such models are probabilistic. They can produce statements that are wrong, incomplete, outdated, biased, or confidently invented, even when the underlying documentation is correct. They can misread a passage, combine two passages wrongly, or answer a question the documentation does not actually cover.
Accordingly:
- We do not warrant that any answer is accurate, complete, current, suitable for any purpose, or free of error.
- Answers are not professional advice of any kind.
- You are solely responsible for deciding whether the Service is appropriate for your site, for reviewing what it says about your product, and for any consequence of an answer shown to your visitors or acted on by them.
- You are responsible for telling your visitors that they are interacting with an automated assistant, where the law where you operate requires it.
- Output is generated for you and for your visitors. We make no claim of ownership over it, and we cannot promise it is unique: the model may generate similar text for another customer asking a similar question.
If an incorrect answer would cause you material harm, do not use the Service for that purpose.
10. Availability, support and changes
The Service is provided on a reasonable-efforts basis. There is no service level agreement, no guaranteed uptime, and no guaranteed response time for support. We may take the Service down for maintenance, and we may change, add or remove features, the model we use, retrieval behaviour, or any technical limit, at any time.
Support is by email to mail@aidocsherpa.com and through the ticket system on your profile. We reply when we can; there is no promised response time.
The Service depends on third parties, including our model provider, our payment processor and our mail provider. An interruption caused by one of them is not a breach of this Agreement by us.
11. Suspension and termination
11.1 By you
You may stop using the Service at any time and delete your content from your profile. Stopping does not entitle you to a refund of unused credits; see clause 5.
11.2 By us
We may suspend or terminate your account, immediately and without refund, if you breach this Agreement, in particular clause 8, or if your use threatens the stability, security, legality or reputation of the Service. Where the breach is capable of being cured and the circumstances allow it, we will tell you what is wrong and give you a reasonable opportunity to fix it first.
We may also terminate for convenience on thirty days' notice by email, in which case we will refund your unused credit balance as described in clause 5.
11.3 After termination
Your content and your account data are deleted. Records we must keep for accounting, tax or legal purposes — including the record of your acceptance of this Agreement and of payments made — are retained for as long as the law requires. Clauses 5, 7.2, 9, 12, 13, 14 and 17 survive termination.
12. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we exclude all warranties, conditions and representations not expressly set out in this Agreement, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that it will meet your requirements.
13. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill or reputation, loss or corruption of data, business interruption, or any indirect or consequential loss, however caused, even if we were told such loss was possible.
- We are not liable for any loss arising from an answer generated by the Service, from your reliance on one, from your visitors' reliance on one, or from content you uploaded.
- Our total liability to you, in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with this Agreement, is limited in aggregate to the amount you actually paid us for the credit pack you most recently purchased before the event giving rise to the claim.
Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that may not lawfully be excluded or limited.
These limits reflect the price of the Service. The price would be materially higher if we carried the risks excluded here.
14. Your indemnity
You will defend, indemnify and hold us harmless against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) brought by a third party and arising out of your content, your use of the Service, an answer shown to your visitors by your deployment of the Service, or your breach of this Agreement.
15. Data protection
Each party will comply with applicable data protection law, including Regulation (EU) 2016/679 (GDPR).
For your account data — your email address, your account settings and your billing records — we are the controller. We use it to operate the Service, to bill you, and to send you operational email such as low-credit warnings. We do not sell it.
For the questions your visitors type into your widget, and any personal data those questions happen to contain, you are the controller and we are the processor. We process that data only to provide the Service and on your instructions, which for these purposes are this Agreement and the settings on your profile. We keep it confidential, apply appropriate technical and organisational measures, assist you with data subject requests to the extent reasonable, and delete it when you delete your account.
We use third-party subprocessors to run the Service, including our model provider, our payment processor, our email provider and our hosting provider. By accepting this Agreement you authorise their use. We will give you a reasonable opportunity to object before adding a new category of subprocessor.
It is your responsibility to tell your visitors, in your own privacy notice, that a third-party assistant processes what they type.
If you require a separate signed data processing agreement, write to mail@aidocsherpa.com.
16. Confidentiality
Neither party will disclose the other's non-public information learned through this Agreement, except to people who need it and are bound to keep it confidential, or where disclosure is required by law.
17. General
Changes. We may amend this Agreement. The current version is always at https://aidocsherpa.com/eula. A change applies to you when you next accept it before a purchase, or thirty days after we email the address on your account, whichever comes first. If you do not accept a change, stop using the Service; the change does not retroactively alter a purchase already made.
Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including war, civil disturbance, natural disaster, epidemic, government action, strike, failure of a utility or of a telecommunications or internet provider, or failure of a third-party service the Service depends on.
Assignment. You may not assign this Agreement without our written consent. We may assign it, on notice to you by email, to a company we later form to run the Service, or to anyone who takes the Service over. After that, the company's name and address, once written into this Agreement, identify the Provider. Purchases already made stay on the same terms.
No partnership. Nothing here creates a partnership, joint venture, agency or employment relationship.
Third parties. No one other than you and us has any right to enforce this Agreement.
Severability. If a provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the rest stays in force.
No waiver. A failure to enforce a provision is not a waiver of it.
Entire agreement. This Agreement, together with the pricing shown on the purchase page, is the whole agreement between us about the Service, and replaces any earlier understanding. You confirm you have not relied on any statement not written here.
Notices. Notices to you go to the email address on your account. Notices to us go to mail@aidocsherpa.com.
Language. This Agreement is made in English. Any translation is for convenience, and the English text governs.
18. Governing law and jurisdiction
This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter, is governed by the law of Bulgaria, without regard to its conflict of law rules and without the application of the United Nations Convention on Contracts for the International Sale of Goods.
The courts of Bulgaria have exclusive jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Before starting proceedings, each party will try in good faith to resolve the dispute by writing to the other at the addresses in clause 17 and allowing thirty days for a reply.
By pressing the agree button you confirm that you have read this Agreement, that you understand it — in particular clause 5 (no refunds), clause 9 (what the Service does not promise about AI answers) and clause 13 (limitation of liability) — and that you agree to be bound by it and to pay the price shown.
